    You agree to submit only publicly available data into our systems. You shall not upload or share any confidential, private, or personal information, including but not limited to personally identifiable information (PII), trade secrets, or any other non-public data. You acknowledge that any data you provide may become accessible by third parties if integrated into the chatbot or the Services.
  3. Subscriptions and Access
    Access to certain features of the Services may require a paid subscription or one-time fee. You agree to pay all fees or charges to your account in accordance with the prices, fees, and billing terms in effect at the time a fee or charge is due and payable.
  4. Service Modifications

  3. No Liability for Publicly Available Data
    You agree that all content you upload or integrate through Cognitium is already publicly available or otherwise has no expectation of confidentiality. Cognitium is not liable for any data that may become publicly accessible, whether through the normal operation of our Services, third-party interactions, or your own use and configuration of the Services.
  4. Waiver of Claims
    You expressly waive all rights to claim any form of compensation or damages against Cognitium, its employees, officers, or affiliates, in the event that any User Content you have provided becomes publicly accessible in any manner.
  5. Data Storage and Processing
    You acknowledge and agree that Cognitium may store, process, or transmit data (including User Content) on servers located in various jurisdictions. We make no guarantees regarding data storage duration or deletion policies. It is your responsibility to maintain backups of your data.

5. Artificial Intelligence Disclaimer

  1. Informational Purposes Only
    The AI-generated responses and analysis provided by Cognitium’s Services are intended solely for informational purposes. The AI may produce incorrect, inaccurate, or incomplete information.
  2. User Responsibility to Verify
    You acknowledge and agree that it is your sole responsibility to fact-check and verify any AI-generated output before relying on it or sharing it with third parties. Cognitium is not responsible for any reliance placed on the AI-generated responses or for any actions taken or not taken in reliance upon them.
  3. AI Limitations
    The AI can make mistakes or produce unintended results. By using Cognitium’s AI, you accept the risks and agree to hold Cognitium harmless for any outcome arising from AI-driven interactions.
  4. No Specialist Advice
    Cognitium’s AI is not a substitute for legal, financial, medical, or other professional advice. You should seek qualified professional counsel to address any specific questions or situations.

6. Payments and Billing

  1. Stripe Payment Processing
    All payments for the Services are processed through Stripe or other authorized payment gateways, which provide secure payment services. By using our Services, you agree to be bound by Stripe’s terms and conditions and privacy policy, in addition to these Terms.
  2. Billing Information
    You agree to provide accurate, current, and complete billing information. Failure to do so may result in the suspension or termination of your account.
  3. Pricing and Fees
    Any applicable fees will be set forth in a separate pricing schedule available on our website or in your account dashboard. Fees are subject to change, and we will provide reasonable notice of any modifications.
  4. Renewals and Cancellations
    If you have purchased a subscription, it will automatically renew at the end of each billing cycle unless you cancel in accordance with the cancellation instructions provided. All subscription fees are non-refundable unless otherwise stated.
  5. Taxes
    All fees and charges are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.

7. Security and Data Protection

    If you choose to provide any suggestions or feedback regarding the Services, you grant us an unrestricted, irrevocable, worldwide, royalty-free right to use and incorporate such feedback without any obligation to you.

9. Disclaimers and Limitation of Liability

  1. Disclaimer of Warranties
    The Services are provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, Cognitium disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
  2. Limitation of Liability
    In no event shall Cognitium, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, or data, arising out of or related to your use of (or inability to use) the Services. Where liability cannot be excluded by law, our maximum aggregate liability for any and all claims shall not exceed the amount you have paid to Cognitium in the twelve (12) months immediately preceding the event giving rise to the liability or one hundred pounds sterling (£100), whichever is greater.

    You expressly waive any and all claims against Cognitium arising from the submission, storage, or public availability of the User Content you upload to our Services.

    You agree to defend, indemnify, and hold harmless Cognitium, its affiliates, and their respective officers, directors, employees, and agents from any and all claims, actions, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorneys’ fees) arising from:

    • Your use or misuse of the Services;
    • Your violation of any third-party right, including intellectual property or privacy rights;
    • Any claim that User Content caused damage to a third party; or
    • Your failure to comply with any applicable laws, rules, or regulations.

11. Termination

    You may terminate your account or subscription at any time by following the instructions in your account settings or by contacting us directly. Please note that subscription fees are non-refundable unless expressly stated otherwise.

    We reserve the right to suspend or terminate your access to the Services at any time for any reason, including but not limited to violation of these Terms or suspected illegal activity. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.
  3. Effect of Termination
    Upon termination, your right to use the Services immediately ceases. Any provisions in these Terms that by their nature should survive termination shall survive, including but not limited to Sections relating to ownership, indemnification, and limitation of liability.
